I have been trying to do the same thing, only with the Fashion Mosaic Grey theme.
I even deleted the compan_logo.gif from the correct folder given above, and the image will not go away.

I also followed the instructions in the help menu, and changing the file name in the template did not change the logo either.

In 4.6 the x-cart logo is actually on the sprite file found in:
/skin/template_name/images/main_sprites_lg.png
/skin/template_name/images/main_sprites_sm.png

I just pasted my logo over the x-cart logo and re-uploaded the file.
