This is exactly what we did, installed V4.1.8 in a test directory, added all the mods that really benifit our site, then had the Xcart experts import our live sites DB, then move the whole site to the root directory. I would highly recomend V4.1.8 if you need the added benifits and features this version has. We love it.

What version did you upgrade from ?

I asked my server people about the PHP5 problem and they say that
so many people use the PHP4 that they have no intention of upgrading
the older servers ever- If someone requires PHP5 then they are sold space on the
new servers.

nope, doesn't require php5, but it is compatible with it.
